Agenda of the 8th Ordinary Annual General Meeting
1. Presentation of the annual financial results as of 31.12.2006, the operating and
financial review of the Board of Directors as well as the Supervisory board’s report
on the 2006 financial year
2. Resolution concerning the distribution of profits for the 2006 financial year
3. Resolution concerning the granting of discharge to the
members of the Managing Board for the 2006 financial year.
4. Resolution concerning the granting of discharge to the members
of the Supervisory Board for the 2006 financial year.
5. Resolution concerning reimbursements to the members
of the Supervisory Board for the 2006 financial year.
6. Election to the Supervisory Board
7. Selection of the company and Group auditors for the 2007 financial year.
8. Any other business
All stockholders who have deposited their stock at an Austrian public notary or at
the main office of a domestic bank by 20 March 2007 at the latest and hold them
there until the conclusion of the Annual General Meeting, are entitled to take part
in this general meeting. The depository is to submit a record of share ownership
to the company (by fax in advance +43-3112-800-320) one day after the end of the
deadline for deposits.
The Annual Report of Binder+Co AG for the 2006 financial year and the operating
and financial review are made available to the public with immediate effect at the
company in Gleisdorf 8200, Grazer Straße 19-25.
