Resolutions of the 9th Annual General Meeting of Shareholders
Re. Item 2 of the agenda
“Resolution concerning the distribution of net profits for the 2007 financial year.”
The net profit is to be distributed as follows:
a) Payment of a dividend of EUR 0.32 per share and a bonus of EUR 0.16 per share,
which gives a total dividend of EUR 0.48 per share.
b) The remaining amount of EUR 10,680.76 will be carried forward to new account.
Re. Item 3 of the agenda
"Resolution concerning the granting of discharge to the
members of the Managing Board for the 2007 financial year.”
All the members of the Managing Board were granted a
discharge for their activities during the 2007 financial year.
Re. Item 4 of the agenda
"Resolution concerning the granting of discharge to the members
of the Supervisory Board for the 2007 financial year.”
All the members of the Supervisory Board were granted a discharge
for their activities during the 2007 financial year.
Re. Item 5 of the agenda
“Election to the Supervisory Board”
The following were elected to the Supervisory Board for a term, which expires at the end of the Annual General Meeting of Shareholders that will decide on the discharge for the year 2012:

Re. Item 6 of the agenda
"Selection of the company and Group auditors for the 2008 financial year.”
SOT Wirtschaftsprüfung GmbH was selected as the auditing company
for the 2008 annual financial and consolidated financial statements.
Re. Item 7 of the agenda"Resolution concerning an authorisation for the purchase (buy-back) of own shares in accordance with §65 Para.1 (4) of the Austrian Corporations Act for the purpose of issue to the workforce, executive management and members of the Management Board, as well as an authorisation for the purchase (buy-back) of own shares in accordance with §65 Para.1 (8) of the Austrian Corporations Act for a period of 30 months following the passing of this resolution, i.e. until September 26, 2010, to an amount equalling 10% of share capital, as well as a resolution concerning the lowest and the highest equivalent price of the shares to be purchased.”
The authorisation was granted and a price range of EUR 10 to EUR 20 per share,
as the respective lowest and highest equivalent values, was established.
