Resolutions of the 8th Ordinary Annual General Meeting of Shareholders
Re. Item 2 of the agenda
“Resolution concerning the distribution of profits for the 2006 financial year.”
The net profit will be distributed as follows:
a) Payment of a dividend of EUR 0.32 per share
b) Carry forward of the remaining amount of EUR 7,675.60
Re. Item 3 of the agenda
"Resolution concerning the granting of discharge to the members
of the Managing Board for the 2006 financial year.”
All the members of the Managing Board were granted a
discharge for their activities during the 2006 financial year.
Re. Item 4 on the agenda
"Resolution concerning the granting of discharge to the members
of the Supervisory Board for the 2006 financial year.”
All the members of the Supervisory Board were granted a
discharge for their activities during the 2006 financial year.
Re. Item 5 on the agenda
"Resolution concerning reimbursements to the members
of the Supervisory Board for the 2006 financial year.”
The reimbursement of Prof. Franz Kessler for his activities as a member of the Supervisory Board during the 2006 financial year was set at EUR 4,360. All other shareholders’ representatives waived the right to reimbursement.

“Election to the Supervisory Board”
The following were elected to the Supervisory Board for a term, which expires at the
end of the General Meeting of Shareholders that will decide on the discharge for 2007:

Dr. Kurt Berger
Dr. Wolfgang Auer von Welsbach
Re. Item 7 on the agenda
"Selection of the company and Group auditors for the 2007 financial year.”
SOT Wirtschaftsprüfung GmbH was selected as the auditing company
for the 2007 annual financial and consolidated financial statements.
